CLIENT SERVICE AGREEMENT

This Client Service Agreement ("Agreement") is entered into between Road2X Technology ("Company") and the undersigned Client ("Client").

1. Acceptance of Agreement

This Agreement must be signed before any project begins.

If this Agreement is not signed by the Client, Road2X Technology shall not be responsible for any work, deliverables, content, server setup, hosting, marketing activity, or related services.

Work will only officially commence after receiving signed approval and required advance payment.

2. Scope of Services

Services may include:

Website Development
Mobile Application Development
Digital Marketing Services
SEO & Paid Advertising
Digital Menu Systems
Custom Software Solutions

3. Client Content Responsibility

The Client confirms:

All provided content (text, images, logos, videos, trademarks) belongs to them or they have legal rights to use it.
All information provided is accurate and lawful.
They have reviewed and approved all content before go-live.

The Company is NOT responsible for copyright violations, trademark issues, legal claims, or misinformation related to Client-provided content.

4. Approval & Go-Live Clause

Before launching any website, app, or campaign:

Client must review final version.
Client must provide written/email approval.

Once approved and deployed live, the Company is not responsible for errors, omissions, or legal consequences related to approved materials.

5. Server & Hosting Responsibility

If hosting/server is provided by a third party:

The Company is not responsible for server downtime, hacking, malware, data loss, or hosting failure.
Maintenance packages must be separately agreed in writing.

If Client manages their own hosting/server, all responsibility lies with the Client.

6. Payment Terms

Advance payment is mandatory before starting work.
Payments are non-refundable once work begins.
Failure to complete payments may result in suspension or termination.

7. No Guarantee Clause (Marketing Services)

The Company does not guarantee:

Specific Google rankings
Sales or revenue increase
Ad approval by platforms

Results depend on market conditions and third-party algorithms.

8. Limitation of Liability

Under no circumstances shall Road2X Technology be liable for:

Business losses
Revenue loss
Data breaches
Cyber attacks
Legal claims from third parties

9. Termination

The Company may terminate services if:

Client provides illegal content
Client violates laws
Payments are not completed

10.Governing Law & Jurisdiction

This Agreement and all services provided by Road2X Technology shall be governed and interpreted in accordance with the laws of Canada.

Any disputes arising from services, websites, applications, or digital marketing projects shall be subject to the exclusive jurisdiction of the courts of Canada.

11.International Services Disclaimer

Road2X Technology provides services globally. Clients are responsible for ensuring that their website content, products, services, and business activities comply with the laws and regulations of their own country.

12.Server & Hosting Disclaimer

Servers or hosting services used for project deployment may be located in different countries, including India. Road2X Technology is not responsible for government regulations, outages, cyberattacks, data loss, or third-party hosting provider failures.

Road2X Technology shall not be held responsible for any legal issues arising from cross-border regulatory differences.

13. Entire Agreement

This signed Agreement represents the full understanding between both parties.
